Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of Boon, a gift-card service operated by Five Whys LLC (“we”, “us”, “our”). By purchasing, sending, or redeeming a Boon gift card, you agree to these Terms. If you do not agree, do not use the service.

1. What Boon is

Boon is a prepaid digital gift card that can be redeemed for credit on third-party artificial intelligence (“AI”) services accessible through our infrastructure partner, OpenRouter. A purchased Boon card delivers an API key to the recipient with a balance equal to the card’s face value. The recipient can spend that balance on AI model usage at the then-current per-token prices set by the underlying model providers.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is greater) to purchase a Boon card. By using the service, you represent that you meet this requirement and that your use does not violate applicable law in your jurisdiction.

3. Purchase and Delivery

Payments are processed by Stripe. After a successful charge, we mint a unique redemption code and deliver it to either the recipient email you provided or, if you chose self-delivery, to the email associated with the payment. The platform fee (clearly disclosed at checkout) is non-refundable and covers payment processing, email delivery, and key provisioning.

4. Expiration and Fees

Consistent with the federal Credit CARD Act of 2009, Boon gift cards do not expire sooner than five (5) years from the date of purchase. We do not charge dormancy, service, or maintenance fees on unused balances. Cards remain valid until the balance is exhausted, the five-year minimum has elapsed (after which we may retire the card with reasonable notice), or the card is revoked under Section 7.

5. Redemption

To redeem a Boon card, the recipient must follow the link in the gift email or visit boon.gifts and enter the redemption code. We verify ownership via a one-time email code before revealing the underlying API key. The API key is intended for personal, non-commercial use; sharing the key publicly or using it to resell access is prohibited and may result in revocation under Section 7.

6. Acceptable Use

You agree not to:

• Resell, transfer for value, or arbitrage Boon cards or their balances
• Use the underlying AI services to violate applicable law, infringe third-party rights, or generate content prohibited by the model provider’s policies
• Attempt to extract, copy, or redistribute the API key beyond personal use
• Circumvent rate limits, security mechanisms, or balance controls
• Use the service to commit fraud, including chargebacks made in bad faith after the card has been redeemed

7. Revocation

We may revoke a card and the associated API key if we reasonably believe it was obtained fraudulently, the payment was reversed or charged back, or the recipient has materially breached these Terms. Revoked cards may forfeit any unused balance. We will attempt to notify the buyer and recipient by email when reasonably possible.

8. Third-Party Services and AI Output

Boon depends on third-party services including OpenRouter, the underlying AI model providers, Stripe (payments), and Resend (email). Their availability, pricing, and content policies are outside our control. AI output is generated by external models and we make no warranty as to its accuracy, suitability, or non-infringement. Use of AI output is at your own risk.

9. Refunds

Refunds are governed by our Refund Policy, which forms part of these Terms.

10. Disclaimers

The service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted or error-free.

11. Limitation of Liability

To the maximum extent permitted by law, Five Whys LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to your use of Boon. Our aggregate liability for any claim arising from the service will not exceed the amount you paid for the gift card(s) at issue.

12. Indemnification

You agree to indemnify and hold harmless Five Whys LLC and its agents from any claim or demand, including reasonable attorneys’ fees, arising out of your use of the service or your breach of these Terms.

13. Changes

We may update these Terms from time to time. Material changes will be noted by updating the “Last updated” date above. Continued use of the service after a change constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-law principles. Any dispute will be resolved in the state or federal courts located in Travis County, Texas, and you consent to their jurisdiction.
